Sparks Media Studios LLC ("Company," "we," "us," or "our") is a boutique custom software development studio based in Oklahoma. The Site provides information about the Company's services, a contact form for inquiries, and published content including blog and news articles. The Company reserves the right to modify, suspend, or discontinue any aspect of the Site at any time without prior notice.

The content on this Site is provided for general informational purposes only. Nothing on this Site constitutes a contract, offer, commitment, or guarantee of services. All project engagements are subject to a separately executed written agreement between the Company and the client.

By submitting a contact form, you represent that the information you provide is accurate and that you are authorized to make such contact. Submission of an inquiry does not create a client relationship, obligation to respond, or agreement to perform services.

The Company will handle information submitted through the contact form in accordance with its Privacy Policy. You agree not to submit through the contact form any content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable.

5. Client Portal and Account Access

The Site may, in the future, offer a client portal or login functionality for authorized clients. Access to any restricted areas of the Site is limited to authorized users only. Unauthorized access to restricted areas is strictly prohibited. If client portal functionality becomes available, portal-specific terms will be provided at that time and will supplement these Terms. In the event of a conflict between portal-specific terms and these Terms, the portal-specific terms shall control solely with respect to portal use. These Terms continue to govern all other use of the Site.

You are responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account. You agree to notify the Company immediately of any unauthorized access or suspected security breach.

6. Intellectual Property

All original content created by Sparks Media Studios LLC and published on this Site, including but not limited to text, graphics, logos, images, and software, is the sole property of Sparks Media Studios LLC and is protected by applicable United States and international intellectual property laws. Where the Site incorporates third-party content, open-source components, licensed assets, or client-supplied materials, ownership of such content remains with the respective rights holders. You may not reproduce, distribute, modify, or create derivative works from any Company-created content on this Site without prior written consent from the Company.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by the Company on the Site, constitute the entire agreement between you and Sparks Media Studios LLC with respect to your use of the Site and supersede all prior agreements, representations, and understandings. For the avoidance of doubt, any separately executed project agreement, master services agreement, or statement of work between you and the Company governs the delivery of services and deliverables. In the event of a conflict between these Terms and an executed project agreement, the executed project agreement shall prevail with respect to the subject matter of that agreement.

17. Indemnification

You agree to indemnify, defend, and hold harmless Sparks Media Studios LLC and its members, officers, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any content you submit through the Site that causes damage to a third party. This indemnification obligation will survive termination of these Terms and your use of the Site.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without the prior written consent of the Company. The Company may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section shall be null and void. Subject to the foregoing, these Terms will be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

19. Force Majeure

The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond the Company's reasonable control, including but not limited to acts of God, natural disasters, pandemic or public health emergencies, power or internet outages, third-party hosting or infrastructure failures, acts of government, or cyberattacks. The Company will use commercially reasonable efforts to resume normal operations as soon as practicable under the circumstances.
